Equity Factory has assisted the shareholders of S.C.M. S.r.l. – Information Technology company based in Concorezzo, Italy, and specialized in digital communications systems for audio, video and videoconferencing – in the sale to Project Informatica S.r.l. The latter is a group that has been active in the ICT business services market for over 30 years. Since last year, Project Informatica has been controlled by H.I.G. Europe, the European branch of the international investment fund H.I.G. Capital.

The operation is part of the add-on logic that is increasingly widespread among private equity firms.

In the transaction, the sellers also relied on the lawyers Piero Marchelli and Danilo Giorgio Grattoni (the latter from Freebly), as well as the tax consultant Roberto Dozio (Prassim). H.I.G. and Project Informatica were assisted by the lawyers of Pavia e Ansaldo and from PwC as for financial and tax due diligence.
