Carve-out is the detachment from a company or group of a branch, division or company. The outcome of the process is usually the transfer to third parties, through sale or exchange, of the separate part.
These are rather complex operations that often bring excellent results to the parties involved.
In this article, written especially with sellers in mind, some ideas are proposed on how to identify the business areas that are candidates for separation, on the structuring of the carve-out, on the optimization of the process (taking into account the potential counterparties and the difficulties of extrapolating the business).
